Shell to Exit Gas Distribution After 25 Years in Nigeria

Shell Petroleum B.V. has agreed to sell its entire interest in Shell Nigeria Gas Group to Nigerian energy firm Vaaris Energy Limited, marking its planned exit from Nigeria’s domestic gas distribution business.

The company announced the deal on Tuesday, October 13, 2026, saying the transaction is subject to regulatory approvals. Financial details were not disclosed.

Shell Nigeria Gas has supplied natural gas to industrial and commercial customers for more than 25 years. Established in 1998, the business operates about 170 kilometres of pipelines across Ogun, Abia, and Rivers states, serving more than 130 customers.

Shell said the agreement would provide a stronger platform for the business under new ownership while allowing it to focus on its strategic deepwater and integrated gas operations in Nigeria.

The company added that Shell Nigeria Gas would continue serving customers and operating normally until the transaction is completed.

The sale is part of Shell’s strategy to streamline its portfolio and concentrate investments on areas where it has competitive strengths. The transaction does not affect its separate interests in Nigeria’s deepwater oil operations or Nigeria LNG.
